Terms of Service
Mainstreet Collective DAO LLC, a Marshall Islands DAO LLC
These Terms of Service (the "Terms") govern your use of mainstreet.cx, its apps and APIs, and the Mainstreet Collective smart contracts (together, the "Services"), operated by Mainstreet Collective DAO LLC, a Marshall Islands DAO limited liability company ("Mainstreet", "we", "us").
1. Acceptance of these Terms
By connecting a wallet, signing in or using any part of the Services you agree to these Terms, the Privacy Policy, the Risk Disclosures and the Eligibility & Offering Restrictions. If you do not agree, do not use the Services.
Before you use an economic feature for the first time you must accept the current version of these Terms and the Risk Disclosures with a checkbox and a signed wallet message. We record that acceptance, with the version and time, against your wallet.
2. Eligibility
Browsing, suggesting deals, commenting, staking and voting are available to anyone who may lawfully use them and is not a Restricted Person (section 3).
The economic features (profit payouts, Deal Vaults, the pre-funded pool and bonds) are available only to wallets verified as one of:
- Non-U.S. persons in an offshore transaction under Regulation S of the U.S. Securities Act of 1933 (the "Securities Act")
- U.S. accredited investors whose status we have verified under Rule 506(c) of Regulation D
U.S. persons who are not verified accredited investors may not use the economic features. You must be at least 18 years old and able to form a binding contract. See Eligibility & Offering Restrictions.
3. Restricted and sanctioned persons
You may not use the Services if you are, or act for, a "Restricted Person": anyone on the U.S. Treasury OFAC Specially Designated Nationals or Consolidated Sanctions lists, or any similar UN, EU or UK list; anyone located in, organized in or ordinarily resident in a comprehensively sanctioned country or region (currently including Cuba, Iran, North Korea, Syria and the Crimea, Donetsk and Luhansk regions); or anyone barred by applicable law. We screen verification submissions against these lists and may block wallets, refuse service or report as the law requires.
4. No advice, no guaranteed returns
Nothing in the Services is investment, financial, legal, accounting or tax advice, or a recommendation to buy, sell or hold anything. We do not promise any return. Businesses the collective buys or builds may earn nothing, lose money or fail. Past results, AI scores and projections do not predict future results.
5. The $MAIN token
$MAIN is a Solana token. Holding or staking $MAIN gives you governance participation (voting weight). Profit participation is offered only through the eligibility-gated economic features. $MAIN is not a share, deposit, debt or claim against Mainstreet's assets, and gives no right to dividends, redemption or liquidation proceeds except as these Terms expressly describe.
The only official contract address is the one published on mainstreet.cx.
6. Third-party trading venues
$MAIN is launched on and traded through third-party venues such as pump.fun and PumpSwap, and possibly other decentralized exchanges. We do not operate, control or endorse these venues, are not a party to your trades, and are not responsible for their prices, fees, availability, security or rules. Prices can move sharply, and liquidity can disappear.
7. Transfer and resale restrictions
Interests acquired through the economic features have not been registered under the Securities Act or any state or foreign securities law.
- Regulation S participants agree not to offer or sell those interests in the United States or to U.S. persons during the applicable distribution compliance period, and afterwards only under registration or an available exemption
- Rule 506(c) participants acknowledge that interests are "restricted securities" that cannot be resold without registration or an exemption (for example Rule 144), and may need to be held indefinitely
- We may refuse, reverse or block transfers or claims that we believe breach these restrictions, to the extent technically possible
8. Staking and lock terms
Staking locks $MAIN in a Streamflow staking pool for the tier you choose. Locked stakes cannot be withdrawn before their unlock date; flexible stakes can be withdrawn at any time. Your weight is your stake times your tier multiplier. Tiers, multipliers and the protocol fee in force when you stake are shown before you sign. We do not hold your staked tokens.
9. Voting and how votes are executed
Stakers vote on deals with signed messages, weighted by a snapshot of staking weight, subject to the quorum and voting window shown on the deal.
Votes are advisory to the operator unless these Terms or the DAO LLC's operating agreement expressly make them binding. Mainstreet's managers execute passed votes in good faith, subject to due diligence, legal, sanctions and practical constraints, and may decline or delay execution where it would be unlawful, unsafe or contrary to the collective's interests. When they do, they will say so on the deal's public timeline.
10. Deal Vaults, the pool and bonds
- Deal Vaults: USDC contributions to a specific deal, held by the vault program. If the target is not met by the deadline, contributors can claim a full refund of their net contribution. Once funded, funds can be released to the treasury to complete the deal
- Pre-funded pool: USDC deposits for pool shares. Unallocated cash can be withdrawn at any time; allocated cash returns only through refunds or deal outcomes
- Bonds: purchases of treasury-held $MAIN at a disclosed discount, paid in USDC. Each offer expires 24 hours after it opens (enforced on-chain), and purchased $MAIN vests linearly over the stated period
Refunds, withdrawals and claims of existing positions are never blocked by a change in your eligibility.
11. Profit distributions
Operating businesses report net profit publicly. When Mainstreet decides to distribute, the staker share (70% by default) is allocated pro rata to the staking weight of eligible wallets at a snapshot, and paid in USDC through an on-chain distributor that eligible wallets claim from. The rest goes to the treasury.
Whether, when and how much to distribute is at Mainstreet's discretion, after expenses, reserves, taxes and legal requirements. Unclaimed amounts may be returned to the treasury after a stated claim period.
12. Fees
A protocol fee (capped at 5% by the vault program) applies to staking deposits, Deal Vault contributions and bond purchases, and is shown before you sign. Network fees are paid by your wallet. Third-party venues charge their own fees.
13. Smart contracts, unaudited code and self-custody
The vault program has not been audited by a third party. Smart contracts and the Solana network can fail, be exploited or be upgraded, and funds can be lost. You alone control your wallet and keys; we cannot recover lost keys, reverse transactions or restore funds sent to the wrong address. You are responsible for reviewing each transaction before you sign it.
14. AI analysis
AI scores, plans and capital estimates are generated automatically, may be inaccurate or incomplete, and are informational only. They are not due diligence and not advice.
15. Your content and prohibited conduct
You keep ownership of what you post (suggestions, comments) and grant Mainstreet a worldwide, royalty-free licence to host, display, adapt and use it to operate and promote the Services. You confirm you have the right to post it.
You must not: break the law or these Terms; manipulate votes, prices or markets; use multiple wallets or false information to evade eligibility or limits; submit forged or someone else's documents; post unlawful, infringing, defamatory or confidential material; attack, overload or reverse-engineer the Services; or use them to launder money or finance terrorism.
16. Intellectual property and brand
The Mainstreet Collective name, logos, emblem and site content belong to Mainstreet or its licensors. You may use the press kit at /brand to refer to us accurately, but not to imply endorsement. Our collection and use of personal data is described in the Privacy Policy.
17. KYC/AML cooperation
You agree to provide accurate verification information, update it when it changes and re-verify when asked (at least every 12 months, and every 90 days for accreditation letters). We may request more information, suspend access while we review, and share information with authorities where the law requires.
18. Taxes
You are responsible for determining and paying any taxes on your use of the Services, including on payouts, bond purchases and token sales. We may be required to collect tax information or withhold amounts.
19. Disclaimers, limitation of liability and indemnity
The Services are provided "as is" and "as available", without warranties of any kind, to the fullest extent the law allows.
To the fullest extent the law allows, Mainstreet and its members, managers and contributors are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, tokens or data, and their total liability for any claim is limited to the greater of USD 100 and the protocol fees you paid in the 12 months before the claim.
You will indemnify Mainstreet against claims, losses and costs arising from your breach of these Terms or of the law, or from your content.
20. Termination, suspension and amendments
We may suspend or end your access to the website and backend features at any time, including for suspected breaches, sanctions or legal risk. On-chain positions remain yours, and refunds, withdrawals and claims of existing positions stay available on-chain.
We may change these Terms. Material changes get a new version, and you may need to accept the new version before using economic features again.
21. Governing law and arbitration
These Terms are governed by the laws of the Republic of the Marshall Islands, including the Decentralized Autonomous Organization Act, without regard to conflict-of-law rules.
Any dispute arising out of or relating to these Terms or the Services will be finally resolved by binding, confidential arbitration seated in the Marshall Islands under the arbitration rules then in effect, before a single arbitrator, in English. You waive any right to a jury trial and to bring or join a class, collective or representative action. Either party may seek urgent injunctive relief in a competent court.
22. Severability, entire agreement and contact
If any provision is unenforceable, the rest stays in effect. These Terms, together with the documents they reference, are the entire agreement between you and Mainstreet about the Services.
