Risk Disclosures
Mainstreet Collective DAO LLC, a Marshall Islands DAO LLC
Using Mainstreet Collective and holding $MAIN involves significant risk. You could lose everything you put in. Read these risks before you take part.
1. Business risk
Online businesses can lose traffic, customers, platform access or key suppliers overnight. Replicated products may never find customers. Acquisitions may be overpriced or misrepresented despite due diligence. Profits may be small, irregular or zero.
2. DeFi project risk
DeFi projects add exploit, oracle, bridge and admin-key risks, revenue that depends on volatile token prices and incentives, and fast-moving regulation.
3. Token and market risk
$MAIN's price can be extremely volatile and can fall to zero. It trades on third-party venues we do not control; liquidity may be thin, and large holders can move the price. Bonds sell $MAIN at a discount, which can add selling pressure as it vests.
4. No guaranteed payouts
Distributions are discretionary and only for eligible wallets. Votes are advisory to the operator. Staked $MAIN on a lock tier cannot be withdrawn early, even if the price falls.
5. Smart-contract and technology risk
The vault program is unaudited. It can be upgraded by the owner wallet's upgrade authority, a single key. Streamflow, Solana, wallets and RPC providers can fail or be attacked. Transactions are irreversible.
6. Regulatory and legal risk
Regulators may treat $MAIN or the economic features as securities or other regulated products, and the rules may change. That could force us to change, restrict or shut down features, delist, or take enforcement-related action. The offering relies on Regulation S and Rule 506(c) exemptions, which have strict conditions. The DAO LLC structure in the Marshall Islands is relatively new and untested in many courts.
7. Liquidity and transfer restrictions
Interests acquired through the economic features are subject to resale restrictions and may have no market. Deal Vault and pool funds allocated to a deal are illiquid until the deal pays out or is refunded.
8. AI and operational risk
AI analysis can be wrong. AI agents running businesses can make costly mistakes, and the team is small and depends on key people and third-party services.
9. Tax risk
The tax treatment of tokens, staking, bonds and payouts is uncertain and varies by country. You may owe tax even without a cash payout.
