Eligibility & Offering Restrictions

Mainstreet Collective DAO LLC, a Marshall Islands DAO LLC

Profit payouts, Deal Vaults, the pre-funded pool and bonds are offered by Mainstreet Collective DAO LLC only to verified eligible wallets. Governance (browsing, suggesting, discussion, staking and voting) is open to everyone who is not a Restricted Person.

1. Who can use the economic features

  • Non-U.S. persons (Regulation S): you are not a "U.S. person" as defined in Rule 902 of Regulation S, are not acting for one, and are outside the United States when you take part
  • U.S. accredited investors (Rule 506(c)): you meet a definition in Rule 501(a) of Regulation D and we have taken reasonable steps to verify it

A "U.S. person" includes any natural person resident in the United States, any partnership or corporation organised under U.S. law, and certain estates, trusts and accounts. If you are unsure, assume you are a U.S. person.

2. How verification works

Verification is performed in-house by Mainstreet's reviewers; it is not a third-party KYC service. You provide:

  1. Residency: country of residence and whether you are a U.S. person
  2. Identity: legal name, date of birth, address, a government ID (front and back) and a selfie holding the ID
  3. Accreditation (U.S. persons only): one method: income (tax returns or W-2s for the last 2 years plus a statement that you expect the same this year); net worth (bank or brokerage statements plus a credit report or liability statement from the last 3 months); a letter from a CPA, attorney, registered investment adviser or broker-dealer dated within 90 days; or a professional certification (Series 7, 65 or 82)

Each submission is automatically screened against the OFAC SDN and Consolidated lists and the restricted-country list, and the country of the submitting connection is recorded. A reviewer then approves, rejects (with a reason), asks for more information or blocks it.

3. Restricted countries and persons

We do not serve persons located in, resident in or organised in comprehensively sanctioned jurisdictions (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk and Luhansk regions), or anyone on a sanctions list. Submissions that match are blocked.

4. Wallets and on-chain eligibility

An approval applies to the wallet that submitted it, and up to 3 wallets you link by signature. Approved wallets are recorded on-chain so that the vault program itself only accepts new contributions, deposits and bond purchases from eligible wallets. If eligibility lapses or is revoked, new economic actions stop, but refunds, withdrawals and claims of existing positions remain available.

5. Expiry and re-verification

Approvals based on a professional letter expire after 90 days. All approvals must be renewed after 12 months, or sooner if your circumstances change.

6. Your obligations

Do not use a VPN or another person's identity or wallet to get around these rules. Providing false information is a breach of the Terms and may be unlawful. If you become a U.S. person or move to a restricted country, tell us and stop using the economic features.
